We represent lenders, borrowers and venture capitalists in all aspects of structuring, negotiating, documenting, closing and working-out loan, lease and other credit transactions.  We represent lenders and borrowers in regard to loan transactions in a wide variety of industries, including the representation of lenders, borrowers in asset-based loan transactions, equipment loans, equipment leases, acquisition financings, single lender transactions and syndicated loan transactions.

We utilize the expertise of partners in other practice areas within Greystone (including securities, M&A and tax) on an as-needed basis to ensure the best possible service to our clients. We have extensive experience in drafting and negotiating various types of business contracts, including management and employment agreements, non-competition and non-disclosure agreements, bills of sale, equipment leases and production requirement agreements.


Greystone assists companies in every stage of their life cycle, from formation to helping them to analyze capitalization structures, employee incentive and stock arrangements, and financing alternatives. We also use our extensive business experience to help clients navigate the difficult road from private company to public company.

For companies that are already public, we advise our clients on a full range of securities law and related matters, including the disclosure and regulatory obligations under the Securities Exchange Act of 1934, the rules of the national securities exchanges and associations, and the requirements of the Sarbanes-Oxley Act as well as other corporate governance rules.  We also provide public company clients with assistance on a wide spectrum of corporate transactional matters such as mergers and acquisitions, joint ventures, strategic alliances, securities offerings and other capital-raising activities, and counseling to their boards of directors and committees on corporate governance and other issues.

We also advise clients on the many issues that should be considered when forming a business, such as whether a business should be operated as a proprietorship, a partnership, a limited liability company, or a corporation; whether the client should elect "S" Corporation status; whether subsidiaries should be formed; and the tax, financial and liability ramifications of these decisions.


We advise Boards of Directors and Board Committees with respect to a variety of corporate governance issues, including SEC and stock exchange rules and Sarbanes-Oxley matters.  We also advise public companies with respect to disclosure and regulatory obligations under the Securities Exchange Act of 1934, various stock exchange rules and the Sarbanes-Oxley Act.


We represent purchasers, sellers, owners and tenants in all aspects of the purchase, sale, leasing, management and financing of healthcare facilities including skilled nursing, assisted living and senior housing facilities.

Our representation includes the handling of diverse real property and business transactions related to healthcare facilities, including financing and refinancing transactions with a variety of institutional lenders, and creating acquisition and/or ownership structures to achieve the maximum permitted tax benefits and asset protection.


We represent clients with buy-side and sell-side advice and assistance in connection with mergers, stock and asset purchases and sales, spin-offs and other change of control and acquisition transactions.  Our attorneys are well-versed in the corporate, tax and securities issues that frequently arise in the context of M&A transactions and representations.


We advise owners, developers and investors on all phases of real estate investment, development, financing and operations, ranging from purchases and sales, leases and financings to sophisticated joint ventures and large portfolio, multi-state, and cross-border transactions. We also represent clients due diligence evaluations, structuring of multi-property acquisitions, development and construction.  In design and construction, we focus on fairly allocating and managing risk to achieve successful project completion.

Acquisition and Disposition.  We represent buyers and sellers in purchase and sale negotiations for commercial, residential, retail, healthcare, industrial and unimproved sites throughout the United States.

Financing.  We assist clients in construction and permanent real estate-secured and real estate-related equity and preferred equity/mezzanine financings.

Joint Ventures.  We represent industry participants partnering with other entities in the development or acquisition of all types of real estate projects, including, commercial, industrial, retail, residential, hospitality and mixed-use projects.

Leasing.  We handle matters ranging from routine commercial and retail leases, to large-scale corporate facility leasing for public and private companies.

Workouts.  When projects are not performing, we advise clients on the opportunities and restrictions provided by applicable law and their project financing structure to help them negotiate as favorable a resolution as possible and to get projects restructured so as to maintain continuity of operations and achieve debt service coverage.

  • tax-free and taxable acquisitions, spin-offs, and dispositions;
  • tax-exempt bond offerings and compliance;
  • corporate finance and funding transactions, recapitalizations, leasing and leveraged buyouts;
  • real estate investment trusts (REITs) and registered investment companies (RICs);
  • partnerships, LLCs, joint ventures and disregarded entities;
  • Chapter 11 reorganization cases and nonjudicial restructurings;
