Practice Description

Adam’s practice focuses on traditional “dirt” and capital markets real estate transactions representing real estate developers, private equity funds, pension funds, REITs, public and private companies and institutional lenders in connection with the acquisition and disposition of real estate assets, leasing, subleasing, entity formation and secured financing.

  • Real Estate Joint Ventures and Strategic Alliances: Adam has extensive experience in structuring, negotiating and documenting sophisticated joint venture agreements and limited liability company agreements for individual and portfolio transactions, including Class A and suburban office buildings, office building portfolios, apartment projects and portfolios, mixed use office, residential and retail developments, regional malls, commercial and industrial buildings and parks, hotels and resort developments.
  • Real Property Portfolio Acquisition and Disposition: Adam has extensive experience in the acquisition and disposition of office, industrial, hotel, multi-family, retail and resort projects, including acquisition of hotel and office portfolios and corporate campuses in North America and Hawaii.
  • Real Estate Secured Financing: Adam has extensive experience in permanent, construction and mezzanine financing transactions secured by various types of real property on behalf of institutional lenders, hard money lenders and borrowers.
  • Leasing & Subleasing: Adam has extensive experience in office, retail and industrial leasing, including corporate facility leasing, representing landlords and tenants, including anchored shopping center leasing and primary responsibility for the corporate real estate requirements for multiple NYSE-listed companies.
  • Mid-Market Mergers & Acquisitions: Adam also has experience in M&A related to real estate and technology companies, including the acquisition of 100% of the shares a real estate company owned by shareholders domiciled in Japan, Hong Kong and New Zealand through a reverse triangular merger by a private real estate equity fund.
Prior Experience
  • Prior to founding Greystone Law Group LLP, Adam was a partner with Orrick, Herrington & Sutcliffe LLP in Los Angeles. Prior to joining Orrick in 1994, Adam was an associate at Clifford Chance, LLP and at Brobeck, Phlegher & Harrison, LLP.
